Adani Ports and Special Economic Zone Ltd. (APSEZ), India’s largest private port operator, has announced a significant move to strengthen its logistics business by acquiring Dependencia Logistics Pvt. Ltd. Through its step-down subsidiary, Mandhata Build Estate Pvt. Ltd., APSEZ executed a Share Purchase Agreement (SPA) with Windson Projects LLP to acquire 100% stake in Dependencia Logistics. The acquisition was concluded at a purchase consideration of ₹37.77 crore.

About Dependencia Logistics

Dependencia Logistics, incorporated in February 2022, was established with the objective of providing comprehensive transportation and logistics services for all types of goods. Although the company is yet to commence commercial operations, its inclusion under the APSEZ umbrella is expected to bolster Adani’s integrated logistics and transportation capabilities.

Strategic Objective Behind the Acquisition

APSEZ stated that this acquisition aligns with its vision of expanding and strengthening its logistics business to enhance integrated supply chain solutions for customers across sectors. By adding Dependencia Logistics to its portfolio, APSEZ aims to extend its value proposition beyond port operations into end-to-end logistics solutions.

Financial Performance Highlights

For the quarter ended June 30, 2025 (Q1 FY26), APSEZ reported a consolidated net profit of ₹3,314.59 crore, a 6.48% increase from ₹3,112.83 crore in Q1 FY25. Revenue from operations surged 31.19% year-on-year to ₹9,126.14 crore, underscoring the company’s robust operational and financial performance.
